Terms of Service

1. Acceptance of Terms
By accessing or using iPerform.live (“Service”, “Platform”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, artists, venue operators, and others who access or use the Service.
2. Description of Service
iPerform.live is a platform that serves three types of users:
2.1 Artists
Live performers (“Artists”) can use the platform to:
- Host live performance events and generate QR codes for audience access
- Receive tips and payments from audience members through Stripe
- Accept song requests from their audience
- Receive live reactions and feedback during performances
- Create and manage audience polls
- Collect guest book entries from attendees
- Build and customize their public artist page
- Send push notifications to opted-in fans
- Manage their repertoire and setlists
- Order and sell branded merchandise
- View analytics and engagement data from their performances
2.2 Venue Operators
Bars, theaters, event spaces, and other venues (“Venue Operators”) can use the platform to:
- Register and manage their venue on the platform
- Manage a roster of performers who play at their venue
- View shared analytics from events held at their venue
- Send announcements to audiences during events
- Build and customize their public venue page
- Manage team members with role-based access
2.3 Visitors
Audience members (“Visitors”) can scan QR codes or visit event URLs to:
- Send tips to performers
- Request songs from the performer's repertoire
- Send live reactions during performances
- Participate in audience polls
- Sign the performer's guest book
- Rate venues
3. User Accounts
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, fraudulent activity, or abuse of the platform.
3.4 Multi-Artist Accounts
A single user account may create and manage multiple artist profiles. Each artist profile operates independently with its own events, analytics, and payment settings. The account holder is responsible for all activity across all artist profiles under their account.
3.5 Venue Accounts
Venue accounts have a separate onboarding process and a venue-specific dashboard. Venue accounts are subject to the same general terms as artist accounts, plus the additional responsibilities outlined in Section 6.
3.6 Team Access
Artists and venue operators can invite team members with assigned roles (owner, manager, member/staff). Team members gain access to the dashboard and features based on their assigned role. Account holders are responsible for all actions taken by team members under their account.
4. Payments and Fees
4.1 Platform Fees
iPerform.live charges a platform fee on tips received by Artists. Current fees are displayed in your account settings. We reserve the right to modify fees with reasonable notice to users.
4.2 Payment Processing
All payments are processed through Stripe. By using our Service, you also agree to Stripe's terms of service. Additional payment processing fees may apply as determined by Stripe.
4.3 Tips and Gratuities
Tips sent through the platform are voluntary payments from Visitors to Artists. Tips can be sent during live events or directly through an artist's profile page. Tips are non-refundable once the associated song request has been played or the tip has been captured. Tips attached to song requests that have not been played may be cancelled by the Visitor before the performance begins.
4.4 Payouts
Artists must complete Stripe Connect onboarding to receive payouts. The platform processes automated weekly payouts for earned balances. Artists may also request on-demand withdrawals, which may be subject to an early withdrawal fee. Payout timing and methods are subject to Stripe's policies. We are not responsible for delays caused by Stripe or banking institutions.
4.5 Promotions and Discounts
iPerform.live may offer promotional benefits to Artists, including but not limited to fee discounts, fee-free tips, or other incentives. All promotions are subject to:
- Eligibility requirements as specified in the promotion terms
- Usage limits (e.g., number of tips, total amount, time period)
- Expiration dates after which benefits no longer apply
Promotions are non-transferable and cannot be combined with other promotions unless explicitly stated. We reserve the right to modify, suspend, or terminate any promotion at any time without prior notice. Promotional codes must be redeemed according to their specified terms and may be restricted to new signups or existing artists.
Fraudulent use of promotional codes, including but not limited to sharing codes intended for specific recipients, creating multiple accounts to redeem promotions, or manipulating the system to obtain unintended benefits, may result in forfeiture of promotional benefits, account suspension, or termination.
4.6 Referral Program
Artists may participate in our referral program to earn promotional rewards by referring new artists to the platform. The referral program is subject to the following terms:
- Referral rewards are earned when a referred artist meets specified milestones (e.g., completing their first live event within a defined time period)
- Both the referring artist and the referred artist may receive promotional benefits as specified in the program terms
- Self-referrals are prohibited—you may not refer artist profiles created within your own account
- Referral codes are unique to each artist and should not be publicly mass-distributed for commercial gain
We reserve the right to modify, suspend, or terminate the referral program at any time. Referral rewards may be revoked if earned through fraudulent, deceptive, or manipulative behavior, including creating fake accounts, using bots, or any other activity that violates these Terms.
4.7 Merchandise
Merchandise offered through the platform (e.g., custom-printed apparel and accessories) is made to order. By placing an order, you acknowledge that:
- Custom printed items are generally non-returnable except when damaged, defective, or not as described
- Each order is produced specifically for you, and eligibility for refunds or returns may be limited as described in our returns policy
- Shipping costs and delivery times are determined by our fulfillment partners and may vary by location

5. Artist Responsibilities
As an Artist using our platform, you agree to:
- Only add songs to your repertoire that you have the legal right to perform publicly
- Comply with all applicable copyright and intellectual property laws
- Obtain necessary performance licenses (ASCAP, BMI, SESAC, etc.) for your venues
- Provide accurate information about yourself and your performances
- Not use the platform for fraudulent or illegal purposes
- Treat your audience with respect and professionalism
- Report accurate tax information for payments received
- Comply with the platform's content moderation policies
- Accept responsibility for actions taken by team members under your account
6. Venue Operator Responsibilities
As a Venue Operator using our platform, you agree to:
- Provide accurate venue information (address, contact details, hours of operation)
- Use audience announcements responsibly and not for spam or misleading content
- Respect performer relationships and data sharing agreements
- Maintain appropriate content on your public venue page
- Comply with the platform's content moderation policies
- Accept responsibility for actions taken by team members under your venue account
7. Visitor Responsibilities
As a Visitor using our platform, you agree to:
- Only send tips using valid payment methods you are authorized to use
- Not engage in fraudulent payment activity or chargebacks
- Behave respectfully when interacting with Artists and other users
- Not spam, harass, or abuse the feedback and reaction features
- Not attempt to circumvent the platform's payment system
- Submit respectful guest book entries
- Participate honestly in audience polls
- Provide fair and honest venue ratings
- Accept automated rate limiting on reactions and interactions
8. Content Moderation
The platform employs automated content screening on user-generated content, including guest book entries, tip messages, song request messages, and poll text responses. Content may be automatically approved, flagged for review, or rejected based on our moderation criteria.
We use a multi-layer moderation system including AI-assisted screening to maintain platform safety and quality. For details on our use of AI in content moderation, see our AI Usage Policy.
Users may contact support to appeal moderation decisions. Platform administrators retain the ability to review and override automated moderation decisions.
9. User-Generated Content
Users are responsible for all content they submit to the platform, including guest book entries, tip messages, poll responses, and page builder content. The platform may remove or moderate content that violates these Terms.
Guest book entries are visible to the receiving artist and may include an optional email address, which may be anonymized at the visitor's discretion. Tip messages are visible to the receiving artist.
10. Push Notifications
Users may opt in to receive push notifications from the platform. Notifications may include event updates, artist announcements, and system messages.
You can manage or revoke notification permissions at any time through your browser settings. Opting out of notifications will not affect other platform functionality.
11. Public Profiles and Discoverability
Artist and venue profiles are publicly accessible and may be indexed by search engines. Information displayed on public profiles — including name, bio, images, social links, and upcoming events — is visible to anyone.
Artists and venue operators control what information appears on their public page through their dashboard settings. Public profiles may appear on the platform's discover and directory pages.
12. AI and Automated Processing
The platform uses AI and automated tools for content moderation and platform integrity. For full details on how we use AI, what data is processed, and your rights regarding automated decisions, see our AI Usage Policy.
Continued use of the platform constitutes acceptance of AI processing as described in the AI Usage Policy.
13. Prohibited Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service to launder money or engage in fraudulent transactions
- Create multiple accounts for fraudulent purposes
- Scrape, harvest, or collect user data without permission
- Impersonate another person or entity
- Interfere with or disrupt the Service or servers
- Use the platform to promote illegal activities or hate speech
14. Intellectual Property
14.1 Platform Content
The Service and its original content, features, and functionality are owned by iPerform.live and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
14.2 User Content
You retain ownership of content you upload to the Service (profile information, bio, images). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Service.
14.3 DMCA Compliance
We respect intellectual property rights and will respond to valid DMCA takedown notices. If you believe content on our platform infringes your copyright, please contact us with the required information.
15. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not guarantee any specific results from use of the Service.
We are not responsible for the content, quality, or legality of performances by Artists, nor for the behavior of any users on the platform.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPERFORM.LIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
17. Indemnification
You agree to indemnify, defend, and hold harmless iPerform.live, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
18. Dispute Resolution
18.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.
18.2 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits or class-wide arbitration.
18.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
20. General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy and AI Usage Policy, constitute the entire agreement between you and iPerform.live regarding the Service and supersede all prior agreements.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
20.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
